Terms of Service

These Terms of Service govern access to and use of Nocentry by customers, users and visitors.

1. Effective date and acceptance

By creating an account, accessing, or using Nocentry (the "Service"), you agree to these Terms. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization.

2. Eligibility and account registration

You must provide accurate registration information and keep it current. You are responsible for account credentials and all activity under your account, including activity by authorized team members.

You must promptly notify Nocentry of unauthorized access or security incidents involving your account.

3. Service description

Nocentry provides monitoring, alerting, incident management and related operational reliability tooling, including website, API, network, SSL and domain monitoring capabilities as made available under your selected plan.

4. Customer responsibilities

• Configure services, alerts and contacts in a lawful and responsible manner.
• Ensure monitored targets and transmitted data are authorized for your use.
• Maintain internal access controls for team users and roles.
• Review alerts and incidents and take appropriate operational actions.

5. Acceptable use

You may not use the Service to:

• Violate applicable law, regulation, or third-party rights.
• Perform unauthorized scanning, intrusive testing, abuse, or disruption.
• Interfere with Service integrity, security, or availability.
• Attempt to reverse engineer, bypass controls, or gain unauthorized access.
• Transmit malicious code or harmful content through the Service.

6. Subscriptions, fees and payment

Paid features are provided according to the selected subscription plan, billing interval and plan limits shown at purchase or in your account.

• Fees are due according to the billing terms for your plan.
• Unless otherwise stated, fees are non-refundable.
• You are responsible for applicable taxes, duties and governmental charges.
• Failure to pay may result in suspension or downgrade of Service access.

7. Plan changes and service modifications

Nocentry may update plans, pricing, feature sets and product capabilities from time to time. Material changes will be reflected in the Service or by reasonable notice where required.

8. Data and privacy

Your use of the Service is subject to the Nocentry Privacy Policy. You retain responsibility for the lawfulness of data you submit or monitor through the Service.

Where applicable, additional data processing terms may apply by separate agreement.

9. Intellectual property

• Nocentry and its licensors retain all rights, title and interest in the Service, software, documentation and related intellectual property.
• Subject to these Terms, Nocentry grants you a limited, non-exclusive, non-transferable right to use the Service during an active subscription period.
• You retain ownership of your data and content submitted to the Service.

10. Feedback

If you provide suggestions, comments, or feature requests, you grant Nocentry a worldwide, royalty-free license to use and incorporate that feedback without obligation.

11. Third-party services

The Service may interoperate with third-party systems. Nocentry is not responsible for third-party products, services, availability or external content beyond our direct control.

12. Confidentiality

Each party may receive non-public information of the other party. The receiving party will use reasonable measures to protect confidential information and use it only for purposes of providing or using the Service.

13. Disclaimers

The Service is provided on an "as is" and "as available" basis, to the maximum extent permitted by law. Nocentry disclaims implied warranties, including merchantability, fitness for a particular purpose and non-infringement.

Monitoring and alerting outcomes may be affected by network conditions, target system behavior, third-party providers and factors outside Nocentry control.

14. Limitation of liability

To the maximum extent permitted by law, Nocentry will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profits, revenue, data, goodwill, or business interruption.

To the maximum extent permitted by law, Nocentry total liability arising out of or relating to the Service will not exceed the fees paid by you to Nocentry for the Service during the twelve (12) months before the event giving rise to liability.

15. Indemnification

You agree to defend, indemnify and hold harmless Nocentry, its affiliates and personnel from claims, damages, liabilities and expenses arising from your unlawful use of the Service, your data, or your violation of these Terms.

16. Suspension and termination

Nocentry may suspend or terminate access where necessary for security, legal compliance, non-payment, misuse, or material breach of these Terms.

You may stop using the Service at any time and may request account closure through support channels, subject to applicable legal and billing obligations.

17. Governing law and disputes

These Terms are governed by applicable law specified in your order form or, if no separate agreement applies, the law applicable to Nocentry contracting entity, without regard to conflict of law principles.

The parties will first attempt good-faith resolution of disputes through support and legal contacts before formal proceedings.

18. Changes to these Terms

Nocentry may update these Terms from time to time. Continued use of the Service after an updated effective date constitutes acceptance of the revised Terms, to the extent permitted by law.

19. General terms

• If a provision is unenforceable, remaining provisions remain in effect.
• Failure to enforce a provision is not a waiver of rights.
• These Terms, together with applicable policies and order terms, form the entire agreement for Service use unless superseded by a signed agreement.
